If there is a conflict between these Terms and a separately signed written agreement, the signed agreement will control to the extent of that conflict.

4. Advertising Platforms and Third-Party Services

Our services may involve third-party advertising platforms, search engines, social networks, analytics platforms, hosting providers, software, and other external services.

These may include platforms such as Google, Meta, Telegram, Huawei, and other third-party providers.

Third-party platforms have their own terms, policies, approval processes, advertising requirements, technical limitations, and account rules. We do not control those platforms.

A campaign, advertisement, account, keyword, creative, landing page, or other advertising material may be rejected, restricted, suspended, modified, delayed, or discontinued by a third-party platform.

We do not guarantee that a third-party platform will approve or continue to approve an advertisement or account.

Clients are responsible for complying with applicable third-party platform policies when their accounts, products, services, or content are being promoted.

5. No Guaranteed Results

Digital marketing performance can depend on many factors outside our control, including market conditions, competition, advertising-platform decisions, budgets, customer demand, website performance, pricing, product quality, sales processes, and changes to search and advertising algorithms.

Accordingly, we do not guarantee specific rankings, traffic levels, leads, sales, conversions, revenue, advertising approval, return on advertising spend, or other specific business outcomes unless expressly stated in a separate written agreement.

Our services are designed to help improve marketing performance, visibility, customer engagement, and other relevant business objectives, but actual results may vary.

6. Client Responsibilities

To provide our services effectively, clients may need to provide accurate and timely information, materials, approvals, access credentials, advertising accounts, brand assets, website access, product information, business information, and other requested materials.

You are responsible for ensuring that information and materials you provide to us are accurate, current, lawful, and authorized for use.

You are also responsible for:

  • Maintaining ownership or appropriate rights to content and materials you provide.
  • Providing timely approvals and feedback.
  • Maintaining accurate business and payment information.
  • Maintaining any required licenses, registrations, permits, or certifications relating to your business.
  • Ensuring that your products, services, claims, offers, and business practices comply with applicable laws and platform requirements.

Delays caused by missing information, delayed approvals, unavailable accounts, technical problems, or other client-side issues may affect campaign timelines and deliverables.

7. Advertising Spend

Unless expressly stated otherwise in writing, advertising-platform spend is separate from Bright Guys Digital Marketing's service fees.

Advertising spend may be charged directly by the relevant advertising platform or handled according to the payment arrangement agreed with the client.

Clients are responsible for paying applicable advertising spend and maintaining sufficient funding for campaigns.

Our management fees do not represent advertising-platform spend unless expressly stated otherwise.

8. Fees and Payment

Service fees are determined by the applicable package, proposal, invoice, statement of work, or service agreement.

Unless otherwise agreed in writing, invoices and recurring service fees are payable according to the payment terms provided at the time of purchase.

Failure to make required payments may result in suspension or termination of services.

We reserve the right to suspend work, campaigns, reporting, account management, or other services when an account is overdue.

Any applicable taxes, government charges, platform charges, or third-party fees will be handled according to the applicable agreement and law.

9. Recurring Services

Where a service is purchased on a recurring basis, the applicable package or service agreement will specify the billing frequency, applicable cancellation requirements, and other commercial terms.

Recurring services may continue until canceled in accordance with the applicable cancellation terms.

Clients should review the applicable service package and our Refund & Cancellation Policy before purchasing recurring services.

10. Cancellation and Refunds

Cancellation and refund eligibility is governed by our Refund & Cancellation Policy, which forms part of these Terms.

Nothing in these Terms limits any rights or remedies that cannot legally be excluded under applicable law.

11. Intellectual Property
